SpAItial Startup Agreement

PLEASE READ CAREFULLY BEFORE JOINING THE STARTUP PROGRAM

Overview

This Startup Agreement ("Startup Agreement") applies to companies, founders, founding teams, and other startups accepted into SpAItial's Startup Program (the "Program"). The Program is a closed feedback loop: selected startups get credits, early Echo model and feature access, priority API access, technical support, and possible go-to-market amplification; SpAItial gets practical feedback from real product usage. This Startup Agreement supplements SpAItial's Terms of Service and Privacy Policy. If there is a conflict between this Startup Agreement and the Terms of Service, the Terms of Service apply unless SpAItial expressly agrees otherwise in writing.

Program Access

Participation is by application and approval only. SpAItial may accept, decline, pause, remove, or reclassify any startup at its discretion. Program benefits may include free or discounted credits, beta access, priority API access and rate limits, Discord or community access, technical and integration support, editorial support, social amplification, case study opportunities, and early feature previews. Program benefits are not guaranteed, are non-transferable, have no cash value, and may be changed, reduced, suspended, or withdrawn at any time.

Startup Commitments

Participating startups agree to participate in good faith and use the Program to build, integrate, test, ship, or evaluate Echo-native products. Unless otherwise agreed in writing, SpAItial expects each participating startup to: share useful feedback about model quality, API ergonomics, workflow, editing, exports, viewer experience, latency, and bugs; use reasonable efforts to build and ship an Echo-native product, integration, or experiment during the Program window; respond to reasonable follow-up questions from the SpAItial team; keep any non-public model, feature, roadmap, pricing, benchmark, or product information confidential; use only source material the startup owns or has the right to use; and avoid content or conduct that is unlawful, abusive, deceptive, infringing, sexually exploitative, hateful, harassing, or likely to damage SpAItial's services, users, or reputation.

Credits and Early Access

Credits, rate limits, model access, export features, API access, and other Program benefits are provided for Program participation only. Participating startups may not sell, transfer, broker, or pool Program credits or access credentials, and may not resell raw Echo access as a standalone product without SpAItial's prior written agreement. SpAItial may revoke credits or access if it reasonably believes a startup has misused the Program, violated this Startup Agreement, violated the Terms of Service, or created operational or reputational risk.

Publishing, Attribution, and Disclosure

Participating startups may publish products and generated outputs unless SpAItial marks the relevant model, feature, output, or workflow as confidential, embargoed, or private. When publishing Program work, startups should use reasonable attribution such as "Powered by SpAItial Echo" or another attribution requested by SpAItial. If credits, support, or other material benefits were provided by SpAItial, the startup is responsible for making any required sponsorship, advertising, or material-connection disclosures under laws and platform rules that apply to them. SpAItial may ask a startup to delay, correct, contextualize, or remove a publication if it reveals confidential information, creates legal risk, misrepresents the product, violates this Startup Agreement, or could reasonably confuse the public about the relationship between the parties.

Content Rights and Promotion

As between the startup and SpAItial, Generated Content is handled under the Terms of Service. The startup does not give SpAItial ownership of every artifact, product, or output it creates. For outputs, screenshots, demos, videos, social posts, quotes, feedback, company names, logos, founder names, handles, likenesses, and product links that the startup shares with SpAItial for the Program or publicly posts in connection with the Program, the startup grants SpAItial a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, publish, repost, edit, crop, excerpt, and distribute those materials for Program operation, product development, marketing, social media, community, investor, press, case study, and launch materials. SpAItial will use reasonable care not to materially misrepresent the startup's work, product, or endorsement. The startup represents that it has all rights needed for SpAItial to use the materials it chooses to submit, share, or publish in connection with the Program.

Feedback

Participating startups may provide feedback, bug reports, workflows, prompts, ideas, benchmark notes, integration requests, and other suggestions ("Feedback"). SpAItial may use Feedback without compensation, including to improve models, products, datasets, safety systems, documentation, examples, and commercial offerings.

No Compensation, Investment, or Agency

Participation in the Program does not create employment, agency, partnership, joint venture, franchise, investment, or representative authority, and is not an offer, commitment, or solicitation to invest in or be invested in by the startup. Participating startups are not entitled to payment, royalties, equity, reimbursement, minimum credit amounts, minimum promotion, or future access unless SpAItial separately agrees in writing. Startups may not make commitments, warranties, product claims, legal claims, pricing promises, or public statements on behalf of SpAItial.

Confidentiality

Participating startups must keep non-public Program information confidential, including unreleased model names, capabilities, limitations, benchmarks, roadmap details, access links, API credentials, private Discord discussions, private support threads, and any information SpAItial identifies as confidential. Confidential information may not be shared outside the startup's team without SpAItial's prior written permission. This obligation does not apply to information that becomes public through no fault of the startup or that the startup can show it already lawfully knew without a confidentiality obligation.

Community Rules

Startups with access to SpAItial community spaces must: be constructive, specific, and respectful when sharing feedback; post outputs only when they have the right to share the source material and final work; avoid spam, self-promotion unrelated to Echo, harassment, hate, adult sexual content, doxxing, malware, scraping, credential sharing, and attempts to bypass limits; use the correct channels for bug reports, showcase posts, support requests, and private issues; and respect embargoes, private threads, unreleased feature details, and other startups' unpublished work.

Removal and Termination

SpAItial may remove a startup from the Program, revoke benefits, remove community access, or ask for Program materials to be taken down if the startup violates this Startup Agreement, violates the Terms of Service, misuses credits or access, creates legal or reputational risk, or stops participating in a way that supports the Program goals. The startup may leave the Program at any time by notifying SpAItial and stopping use of Program-specific benefits. Confidentiality, content rights, feedback rights, attribution/disclosure obligations, limitation of liability, and any provisions that should reasonably survive will continue after Program participation ends.

Signature and Acceptance

By submitting an application, accepting Program access, joining Program community spaces, using Program credits, or signing this Startup Agreement, the startup confirms that the person accepting is authorized to bind the startup and that the startup has read and agrees to this Startup Agreement, the Terms of Service, and the Privacy Policy.
